KLA-Tencor Names Two New Members To Board Of Directors

SAN JOSE, Calif., Aug. 15, 2000-KLA-Tencor Corp. (Nasdaq:KLAC) today announced the appointment of two new members to its board of directors. H. Raymond Bingham and Robert T. Bond were elected to the board on Aug. 15, 2000. Bond and Bingham will fill vacancies on the board created by the retirement of Leo J. Chamberlain and Samuel Rubinovitz, and the resignation of James W. Bagley.

"We are fortunate to have added two exceptionally talented directors to fill the vacancies on KLA-Tencor's board," said Kenneth Levy, chairman of KLA-Tencor. "Both of these gentlemen bring a wealth of experience to KLA-Tencor, especially in the area of software development. In today's process control market, software is playing an increasingly vital role."

Bingham has served as president and chief executive officer of Cadence since April 1999, and as a director of Cadence since November 1997. From 1993 to April 1999, he served as executive vice president and chief financial officer of Cadence. Prior to joining Cadence, he was executive vice president and chief financial officer of Red Lion Hotels and Inns-an owner and operator of a chain of hotels-for eight years. Bingham is a director of Legato Systems, Inc., Onyx Software Corporation, TenFold Corporation and a director and chairman of Integrated Measurement Systems, Inc.

Bond has served as a consultant with technology companies in the areas of business strategy, marketing, sales management and operations since January 1998. He was chief operating officer for Rational Software Corporation from April 1996 to January 1998. At Rational, Bond has also served as senior vice president, international from April 1990 to March 1996 and vice president, sales and marketing from November 1983 to March 1990. Before joining Rational, he held several positions with Hewlett-Packard Company, including division general manager, from November 1967 to October 1983.

Levy stated that the three directors leaving the board have each made significant contributions to the success of KLA-Tencor during their tenures as directors and their sage advice and counsel will be missed. "We are sorry that the company's mandatory retirement age for directors will deprive us of both Sam Rubinovitz's and Leo Chamberlain's wisdom as board members and that other obligations have led to Jim Bagley's resignation," said Levy. "Their insight and industry knowledge have benefited KLA-Tencor during their tenure on the board and they will all be missed."

Rubinovitz joined the KLA Instruments board in 1979, one year after the founding of the company. Rubinovitz, who retired as executive vice president of EG&G, made significant contributions over the past two decades including helping to develop KLA-Tencor's strategic planning and business systems.

Chamberlain joined KLA's board in 1982. He retired as executive vice president of ROLM Corp. As a KLA-Tencor director, Chamberlain's many years of business experience were very helpful to the company, especially in areas of sales, distribution and human resources policies.

Jim Bagley, CEO of Lam Research, has been a valuable resource to the company since joining the KLA-Tencor Instruments board in April 1997. His business experience and applicable industry knowledge made him a significant contributor on the board. He tendered his resignation in order to spend more time on his other personal and professional commitments.

In addition to Bingham and Bond, the current members of KLA-Tencor's board are: Edward W. Barnholt; Richard J. Elkus, Jr.; Kenneth Levy, chairman; Dean O. Morton; Kenneth L. Schroeder, president and CEO; Dag Tellefsen; Jon D. Tompkins; Lida Urbanek; and Larry W. Sonsini, secretary of the board.
